Terms of Service of Northstar Audience Research Limited

1. Introduction and acceptance of terms
These Terms of Service (the “Terms”) govern access to and use of the services provided by Northstar Audience Research Limited (“Northstar Audience Research Limited”, “we”, “us”, or “our”), a business operating in audience-research. Our registered business address is Northstar Audience Research, 42 Farringdon Road, London EC1M 3HB, UK.
By requesting, accessing, purchasing, or using any of our services, including without limitation audience segmentation and profiling, consumer surveys and questionnaire design, focus groups and in-depth interviews, digital audience analysis, brand perception research, content and messaging testing, and customer journey and behaviour insights (collectively, the “Services”), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Services.
2. Scope of services
Northstar Audience Research Limited provides research, insight, analysis, advisory, and related support services tailored to audience understanding and strategic decision-making. The exact scope, deliverables, timelines, assumptions, and fees for any project will be set out in a proposal, statement of work, order form, quotation, or similar written document agreed between the parties (“Project Terms”).
- Audience segmentation and profiling
- Consumer surveys and questionnaire design
- Focus groups and in-depth interviews
- Digital audience analysis
- Brand perception research
- Content and messaging testing
- Customer journey and behaviour insights
Unless expressly agreed in writing, we do not guarantee any particular commercial outcome, audience response, conversion rate, market position, or business result from the Services.
We may subcontract or engage qualified third parties to support delivery of the Services, provided that we remain responsible for the performance of our contractual obligations subject to these Terms and any applicable Project Terms.
3. User obligations and responsibilities
You agree to:
- provide accurate, complete, and timely information reasonably required for us to deliver the Services;
- ensure that any materials, data, content, scripts, brands, sample frames, participant lists, or instructions you provide are lawful, accurate, and do not infringe third-party rights;
- obtain all necessary consents, notices, approvals, and permissions for the collection, processing, recording, use, and transfer of data, including personal data, where applicable;
- co-operate with reasonable requests from us and respond promptly to questions or approvals needed to avoid project delays;
- not misuse the Services, attempt to interfere with our systems, or use the Services for unlawful, fraudulent, defamatory, misleading, discriminatory, or harmful purposes; and
- comply with all laws and regulations applicable to your use of the Services and your own business activities.
If you provide information or materials that are incomplete, inaccurate, unlawful, or delayed, we may suspend or adjust the Services, revise timelines, and/or charge additional fees to the extent reasonably necessary.
Where research involves respondents, panels, interviews, or other participants, you must not require us to use methods that would breach law, ethical standards, platform rules, or applicable research codes of practice.
4. Payment terms and conditions
Fees for the Services will be as set out in the relevant Project Terms or invoice. Unless otherwise agreed in writing:
- all fees are stated exclusive of VAT and any other applicable taxes, which will be added where required by law;
- invoices are payable within 14 days of the invoice date;
- we may require an advance payment, deposit, or milestone payment before starting or continuing work;
- late payments may result in suspension of the Services until all outstanding sums are paid in full;
- you are responsible for any bank charges, transfer fees, or currency conversion costs incurred in making payment;
- we reserve the right to charge interest on overdue amounts at the maximum rate permitted by applicable law, from the due date until payment is received in full.
If you dispute any invoice, you must notify us in writing within 7 days of the invoice date, stating the reason for the dispute in reasonable detail. You must pay any undisputed amount by the due date.
We may increase fees for changes in scope, additional iterations, rush work, extra participant recruitment, or other material changes requested by you. Any such increase will be communicated before the additional work is undertaken where practicable.
5. Cancellation and refund policy
Because the Services may involve planning, labour, recruitment, custom design, and third-party commitments, all cancellations must be made in writing.
- If you cancel before work begins, we may retain any non-refundable deposit and recover reasonable costs already incurred.
- If you cancel after work has commenced, you will be liable to pay for all work performed, time spent, costs incurred, and any committed third-party expenses up to the cancellation date.
- Where specific research participants, fieldwork, facilities, software, or external suppliers have been booked, their non-refundable costs may be passed on to you.
- Unless otherwise required by law or expressly stated in the Project Terms, fees paid for completed or in-progress custom Services are non-refundable.
If we cancel a project for reasons within our control, we will refund any prepaid fees for Services not yet performed, except for non-recoverable third-party costs already incurred on your behalf with your prior approval.
If a refund is due under these Terms, it will be processed within a reasonable time to the original payment method, unless another method is agreed.
6. Liability limitations
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.
Subject to the foregoing, Northstar Audience Research Limited shall not be liable for:
- loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or loss of opportunity;
- indirect, incidental, special, consequential, or punitive losses;
- decisions made by you or any third party based on research findings, interpretations, or recommendations;
- losses arising from your inaccurate, incomplete, unlawful, or delayed instructions or materials;
- losses arising from third-party systems, tools, platforms, panels, venues, software, or communications services outside our reasonable control.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Services, whether in contract, tort, negligence, misrepresentation, restitution, or otherwise, shall be limited to the total fees paid or payable to us for the specific Services giving rise to the claim during the 12 months preceding the event giving rise to liability.
We provide research and advisory outputs on an “as is” basis for informational and strategic purposes only. You remain solely responsible for independent verification and for all business, legal, marketing, and operational decisions you make using the results.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights in our methodologies, templates, workflows, frameworks, tools, software, know-how, and generic materials remain the property of Northstar Audience Research Limited or our licensors.
Upon full payment of all amounts due, and subject to any third-party rights and any exclusions stated in the Project Terms, you will receive a non-exclusive, non-transferable licence to use the final deliverables we create specifically for you for your internal business purposes and for the purposes agreed in the relevant project.
We may retain and reuse anonymised, aggregated, and non-identifying learnings, expertise, and general know-how developed in the course of performing the Services, provided that such use does not disclose your confidential information or personal data in a manner inconsistent with these Terms or applicable law.
You must not copy, distribute, modify, reverse engineer, or commercialise our materials except as expressly permitted in writing. If deliverables incorporate third-party content, your rights may be subject to those third-party terms.
8. Data protection and privacy
Each party shall comply with applicable data protection and privacy laws in connection with the Services. Where personal data is processed, each party will act in accordance with its respective legal obligations and any relevant data processing terms agreed between the parties.
You acknowledge that audience-research activities may involve collection and analysis of personal data, sensitive responses, recordings, demographic information, behavioural data, and other participant information. You are responsible for ensuring that you have a lawful basis to provide such data to us and to instruct us to process it for the relevant project.
We will implement appropriate technical and organisational measures designed to protect personal data against unauthorised or unlawful processing, accidental loss, destruction, or damage.
Where required, we may provide further privacy information, consent wording, participant notices, or data processing terms for a specific project. If there is any conflict between these Terms and a separately signed data processing agreement, the data processing agreement shall prevail to the extent of that conflict.
9. Force majeure
We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, extreme weather, epidemic or pandemic, industrial disputes, government action, war, terrorism, civil unrest, utility failures, internet outages, platform disruptions, supply chain interruptions, or the failure of third-party providers or research participants to perform.
During a force majeure event, our obligations shall be suspended for the duration of the event and for a reasonable recovery period. We will use reasonable efforts to mitigate the effects and resume performance as soon as practicable.
If a force majeure event continues for more than 30 days and materially affects the Services, either party may terminate the affected project by written notice, in which case you will pay for Services performed and reasonable non-cancellable costs incurred up to the termination date.
10. Changes to terms
We may update or modify these Terms from time to time to reflect changes in our Services, business practices, or legal and regulatory requirements. Any updated Terms will be posted or otherwise communicated to you with a new effective date.
Changes will apply to future services and, where permitted by law and appropriate, to ongoing services after notice of the change has been given. If you continue to use the Services after the updated Terms take effect, you will be deemed to have accepted the revised Terms.
For project-specific engagements, any inconsistency between these Terms and the Project Terms shall be resolved in favour of the Project Terms for that project, unless the Project Terms state otherwise.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory consumer rights or other mandatory legal requirements that cannot be excluded by agreement.

13. Severability clause
If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable, or if that is not possible, it shall be severed from these Terms.
The validity and enforceability of the remaining provisions shall not be affected, and the invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original commercial intention.
